OUR PRACTICETransactions and Development - Our attorneys address real-world issues in transactional and development matters, protecting each client's interests while getting the deal done. We have the insight and broad range of legal skills necessary to negotiate and consummate purchase and sale agreements, option agreements, ground leases, construction agreements, tax-deferred exchange documents, easements, Parcel Map related documents, and escrow and title documents. We routinely alert our clients to the tax implications of their transactions, and work in concert with their CPAs to ensure smooth tax-planning for their transactions and ownership entities. We prepare LLC agreements, limited partnership agreements, and corporation documents to maximize each client's liability shield. We integrate our representation with each client's estate-planning activities, to minimize tax impacts and avoid costly probate proceedings. Financing and Investors - During the past two decades, our attorneys have handled hundreds of millions of dollars of institutional financing transactions with banks, insurance companies, and state retirement funds, including workouts and loan modifications. We also have extensive experience with passive and active investment structures with private investors. Leasing and Management - We regularly advise clients on tenant leases, management agreements, lease workouts and amendments. We negotiate and document major issues without becoming lost in details which are irrelevant to our clients. Litigation - When opposing parties do not perform as agreed, litigation may be necessary. Since our litigation practice is limited to real estate matters, our prior knowledge and experience allows us to evaluate our client's claims and litigation budget, and prepare a cost-effective litigation strategy. Our practice includes general contractual defaults and disputes, construction litigation, and tenant evictions and collections. |
